Data Super Center Terms of Use Agreement

This Sales Agreement is made between the Data Super Center CRM and Buyer

1. Description of Services

The Company agrees to create and deliver a CRM system with optional AI Voice Assistant and/or a text-based chatbot for the Buyer based on the information provided in the Buyer’s completed Data Intake Form. When the buyer properly establishes their Data Super Center account, the company agrees to provide email, text message, and other basic CRM functions as listed on promotional material located at crm.datasupercenter.com The (Optional) AI Voice Assistant will respond to inbound phone calls and answer frequently asked questions about the Buyer’s products and services. The (Optional) text based chatbot will handle frequently asked questions via text-based interaction.

2. Data Intake Form

The Buyer agrees to complete the Data Intake Form. This form will serve as the foundation for the setup of the Data Super Center CRM and optional AI Voice Assistant and/or chatbot. The Company will rely on the accuracy and completeness of the information provided by the Buyer.

3. Build Pricing

We charge a one-time $300.00 build fee when doing a build-out for the Data Super Center CRM and theoptional text-based and voice-based AI Assistant. This fee does not include the monthly maintenance and usage fees charged by 3rd party vendors.

Maintenance Fees = Each supporting vendor charges a monthly fee for chatbot responses, email, and text messages. We charge the minimum maintenance fee possible to support these services.

4. Modifications

The Buyer will receive up to three (3) modifications to the AI Voice Assistant or Text-Based Chatbot at no additional charge. Any modification requests beyond the three included will be charged at the Company's current hourly rate for development and build-out services. The Company’s current hourly rate for modifications is $75.00 per request.

5. Data Super Center CRM Users Only

We offer a CRM Service and Tool that we consider to be one of the top CRM Tools and services available. It is called the Data Super Center CRM. It provides best in class functionality.

Think of the Data Super Center as the “brain” of your business. It keeps your contacts organized, sends messages for you, takes care of follow-up, schedules appointments,, answers frequently asked questions, helps take care of your customers after normal business hours and when you are unavailable, helps you turn more leads into sales, and it does all of this without you needing to be a tech expert. 6. Buyer Responsibilities

The Buyer is responsible for all third-party subscription fees and charges for the tools and services used to build and maintain the Data Super Center and AI tools, including but not limited to AI hosting platforms, APIs, and cloud services.

7. Confidentiality

The Company and the Buyer agree that any confidential information shared during the course of this Agreement, including but not limited to trade secrets, proprietary information, customer data, and business strategies, will not be disclosed to any third party without prior written consent. This obligation shall survive the termination of this Agreement

8. Data Privacy and Compliance

The Company agrees to take reasonable steps to ensure that the Data Super Center and all AI tools comply with applicable data privacy regulations. However, the Buyer is responsible for ensuring compliance with any industry-specific data protection laws. The Buyer agrees to notify the Company of any specific legal obligations regarding data privacy that the AI tools must adhere to.

9. Security and Liability

The Company will implement security-focused prompts, limit access to the internet, and connect the AI tools directly to knowledge databases provided by the Buyer. However, the Buyer acknowledges that no security system is foolproof and that unauthorized access, hacking, or data breaches could occur, despite these security measures.

Disclaimer of Liability

The Company shall not be liable for any unauthorized access or misuse of the Data Super Center CRM and all AI tools developed under this Agreement. The Buyer assumes full responsibility for ensuring the appropriate and secure use of the Data Super Center CRM and all AI tools and agrees to hold the Company harmless in the event of any damages resulting from unauthorized access or use by third parties. This includes any damage caused by a "bad actor" gaining access through the AI systems, even if safeguards are in place.

10. Force Majeure

The Company shall not be liable for any failure to perform its obligations under this Agreement due to circumstances beyond its reasonable control, including but not limited to natural disasters, acts of war, terrorism, internet or communication failures, or governmental regulations.

11. Non-Solicitation

During the term of this Agreement and for a period of one (1) year thereafter, the Buyer agrees not to solicit or hire any employees or contractors of the Company without prior written consent.

12. Ownership of Custom Modifications

All custom modifications, enhancements, or developments made to the Data Super Center and all AI tools as part of this Agreement will remain the intellectual property of the Company unless otherwise agreed upon in writing. The Buyer is granted a non-exclusive, limited license to use the custom modifications for internal business purposes only.

13. Support and Response Times

The Company will respond to maintenance requests within 3 business days of receiving a ticket or notification. Complex issues may require additional time to resolve, and the Company will inform the Buyer if extended troubleshooting is necessary.

14. Indemnification

The Buyer agrees to indemnify and hold harmless the Company, its employees, and agents from any claims, losses, or damages, including attorney’s fees, arising out of the use or misuse of the Data Super Center CRM, AI tools, or related services.

15. Limitation of Liability

In no event shall the Company be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, even if advised of the possibility of such damages.

16. Dispute Resolution

In the event of a dispute arising out of or relating to this Agreement, the parties agree to first attempt resolution through mediation. If mediation fails, the parties agree to submit to arbitration in accordance with the rules of the State of Texas

17. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of laws principles.

18. Entire Agreement

This Agreement constitutes the entire understanding between the parties and supersedes all prior discussions, agreements, or understandings of any kind.

Submitting the Data Super Center and AI Tool Development Payment is automatically considered as acceptance of this agreement.
